DEFINITIONS

  • "Buyer" means the organization or person who purchases products from Portower Technology (Hong Kong) Co., Limited (“Seller”).
  • "Goods" means the articles to be supplied to the Buyer by the Seller.
  • "Intellectual Property Rights" means all patents, registered and unregistered designs, copyright, trademarks, know-how, and all other forms of intellectual property enforceable worldwide.
  • "Seller" means Portower Technology (Hong Kong) Co., Limited, headquartered at Hong Kong, specializing in IT infrastructure exports, including servers, switches, network security products, and monitoring equipment.

PRICE, PAYMENT & RETENTION OF TITLE

  • Prices are as per Seller’s quotation, unless otherwise agreed in writing. Prices exclude VAT or other applicable taxes.
  • Credit terms may be offered at the Seller’s sole discretion, following satisfactory credit vetting. Where credit is offered, payment must be made on the agreed date.
  • If payment is overdue, Seller may charge interest of 2% per month until payment is received.
  • Seller reserves the right to require advance payment or refuse delivery for unpaid Goods.
  • Title of Goods passes to the Buyer only after full payment for the Goods and any other outstanding debts to the Seller.

DELIVERY

  • Delivery occurs at the address specified by the Buyer, on or near the requested delivery date.
  • Buyer must arrange to accept delivery. If the Buyer’s actions prevent delivery, Seller may store the Goods at Buyer’s expense until delivery can occur.
  • Any damages, shortages, over-deliveries, or duplicate orders must be reported within 30 days of receipt for replacement or refund.

OUR CANCELLATION POLICY

If you need to cancel your order, please contact us immediately. We will assess the stage of production and any associated costs, including supplier fees and unreimbursed expenses. Any applicable charges will be communicated to you.

OUR MODIFICATIONS

We offer comprehensive modification services to tailor our products to your specific needs. Any changes to the Goods must be agreed upon in writing, ensuring clarity and mutual understanding. The Buyer will be responsible for any additional costs that may arise from requested modifications.

OUR COMMITMENT

Our standards meet your expectations. For custom quality levels, please provide written specifications and we will discuss any associated costs.

RIGHT OF INSPECTION

Buyer may inspect the Goods upon arrival and within 30 days of delivery. Inspection rights are deferred until after payment is made.

YOUR WARRANTY POLICY

All items come with a limited warranty. Seller is not responsible for any damages or defects not covered by the warranty terms.

Warranty Disclaimer

Our products are guaranteed against defects in material and workmanship. We are not responsible for damages resulting from misuse, accidents, or unauthorized modifications. Your sole remedy for any breach of warranty is limited to the repair or replacement of the defective product.

INTELLECTUAL PROPERTY

All Intellectual Property Rights created or arising from this agreement remain the absolute property of the Seller. Buyer shall assist as necessary to ensure these rights vest in the Seller.

FORCE MAJEURE

Seller is not liable for delays or failures caused by events beyond reasonable control, including natural disasters, strikes, war, accidents, or material shortages. Seller may extend obligations or terminate the contract if delays are unreasonable.

WAIVER

Failure to enforce any provision does not waive the right to enforce it in the future.

SEVERABILITY

If any provision is held invalid, illegal, or unenforceable, the remainder of the Terms shall continue in full effect.

LEGAL FRAMEWORK

This agreement is subject to the laws of Hong Kong SAR. The parties agree to the exclusive jurisdiction of the courts of Hong Kong SAR.
